1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Synquant AI LLC ("Company," "we," "us," or "our") governing your access to and use of our software products, services, and website.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services.

2. Description of Services

Synquant AI LLC is a technology and software development company that provides:

• AI software development and machine learning solutions
• Quantitative infrastructure and data analysis tools
• B2B fintech integration services and API solutions
• Enterprise software licensing and support

Our software products are designed for infrastructural and analytical purposes. We do not provide financial, investment, legal, or tax advice. Any output generated by our software tools should not be construed as financial recommendations.

3. Software License

3.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our software products for your internal business purposes during the subscription or license term.

3.3 Ownership

All right, title, and interest in and to our software products, including all intellectual property rights, remain exclusively with Synquant AI LLC. No ownership rights are transferred to you under these Terms.

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use or security breach
• Accept responsibility for all activities under your account

5. Payment Terms

5.1 Fees

You agree to pay all fees associated with your use of our services as described at the time of purchase. All fees are non-refundable. Due to the intangible nature of digital goods and software products, all sales are final. Please refer to our Refund Policy for more details.

We will bill you through our payment processor for the fees associated with your subscription or license. By providing a payment method, you authorize us to charge the applicable fees.

5.3 Taxes

7.2 "As Is" Basis

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.3 No Guarantee of Results

We do not guarantee that our software will be error-free, uninterrupted, or free of viruses or other harmful components. We make no guarantees regarding the accuracy, reliability, or completeness of any data or output generated by our software.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNQUANT AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months prior to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Synquant AI LLC and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our services.

10. Intellectual Property

Our services, including all content, features, and functionality, are owned by Synquant AI LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written consent. Any feedback, comments, or suggestions you provide regarding our services may be used by us without restriction or obligation to you.

11. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with these Terms. Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law.

12. Term and Termination

12.1 Term

These Terms shall remain in full force and effect while you use our services.

12.2 Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

12.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. We shall have no liability to you or any third party for any termination of your access to our services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Albuquerque, New Mexico.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Albuquerque, New Mexico. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Synquant AI LLC regarding your use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
